Date: Wednesday 18th November 2026

Time: 1030 Registration, 1100 Start, 1545-1645 Drinks Reception

Talks to include:

Should I Stay or Should I Go? The Questions to Ask Before You Terminate
Mark Grant and Alex Bradford

Two Supreme Court decisions this year, and a run of Court of Appeal cases, have sharpened the law on bringing contracts to an end. This session works through the questions when your client wants out of a contract: do they have a right to terminate, have they lost it, which route gives the better remedy, how to get it right and what happens if they get it wrong? Along the way, Mark and Alex will look at the interplay between repudiation, express termination rights, waiver, loss of bargain damages and restitution, with practical pointers on notices, pleading and drafting.

Built on Trust: The Role of Quasi-Partnerships in Shareholder Disputes
Kirsty White and Angus Thomas

This session explores the role of quasi-partnerships in shareholder disputes. With a particular focus on putting the principles into practice, the session considers how to identify, evidence and litigate a quasi-partnership.

Drawing on some of the recurring difficulties that arise, Kirsty and Angus will discuss what happens when relationships change or break down, arrangements evolve over time, or family members and other third parties become involved. The session will also consider the consequences of quasi-partnerships for exclusion from management, remedies and share valuation, including minority discounts.

Truth, Lies and SPAs
Natalie Kearney

Considering breaches of warranty in Sale and Purchase Agreements, including fraudulent misrepresentation.

The Road to Hell is Paved With Good Intentions: Saxon Woods v Costa
Simon Clegg and Abbi Robinson

This session will discuss the key elements of the Supreme Court judgment in Saxon Woods v Costa and its practical impact going forward.

Yuen v Li [2026] EWHC 532 (KB) – and Rights in Intangible Property
Jonathan Gale

The High Court recently struck out a claim in conversion for the return of Bitcoin alleged to have been “stolen”, on the basis that under English law the tort applied only to tangible property. However, the courts have not ruled out the existence of a sui generis action for knowing dealings with intangible assets. Jonathan will consider the legal landscape from which such a type of claim could emerge.

Case Law Update
Iqbal Mohammed

This session will review and summarise recent decisions which are notable for practitioners, from first instance to the Supreme Court. Iqbal will look at decisions including Gilbert v Broadoak Private Finance, Galliard Hotels, THG Plc and others. The session is intended to draw out the headline points for busy practitioners and keep them up to date on the latest legal developments.

We look forward to seeing you there.
